Shopify
The commerce operating system behind ~14% of US online retail, selling subscription software and payments to ~3M merchants.
well positioned
Shopify has turned the merchant storefront into a payments, logistics-routing and AI-agent platform that Amazon still can't replicate for brands that want their own identity.

Snapshot
Shopify (NYSE: SHOP) is the commerce operating system behind roughly 14% of US online retail by GMV and about 30% of US ecommerce sites by count (Chargeflow, Oct 2026). In Q3 2026 it processed $119.1B in GMV, up 29.5% year over year, and generated $3.74B in revenue, up 31.6% year over year, with a 15.2% GAAP operating margin and a 21.8% free cash flow margin (Shopify Q3 2026 10-Q, Nov 2026). Market cap sits around $185B as of Nov 6, 2026 (CompaniesMarketCap, Nov 2026), after a ~15% post-earnings drawdown as investors absorbed guidance of only high-twenties gross profit growth into Q4. Shopify Payments penetration reached 68% of GMV, or $81.4B, in Q3 2026 (SEC-API analysis of Q3 2026 10-Q, Nov 2026). The business has compounded from $2.9B in 2020 revenue to $11.6B in 2025 while pivoting out of its ill-fated logistics build and into agentic AI commerce. We rate Shopify well-positioned, but the next leg of the story is less about taking share from Magento and more about defending checkout from Amazon and from the agent runtimes that will intermediate discovery.
Founding story
The origin is now canonical: in 2004, Tobi Lütke, a German-born Ruby programmer who had emigrated to Ottawa to be with his girlfriend, tried to open an online snowboard store with his friend Scott Lake. The store was called Snowdevil. Off-the-shelf ecommerce software of the era — Miva, osCommerce, Yahoo Stores — was so painful that Lütke, already contributing to Ruby on Rails under DHH, wrote his own storefront instead. Daniel Weinand, a design-trained friend from Germany, came over to build the interface. The snowboards sold, but the three realized the shopping cart was the product. In 2006 they rebranded as Shopify and started selling the platform to other merchants. Lake, who had coined the name and been the first CEO, left in 2008 when the team was still around 10 people and later joined Hello Ventures (Fundbat, Nov 2026); Lütke took over as CEO and has never left. The company bootstrapped for four years, took a $7M Bessemer-led Series A in December 2010 (Clay dossier, Nov 2024), and went public on the NYSE and TSX on May 21, 2015, pricing at $17 and raising $131M (Renaissance Capital, May 2015).
How it works
Strip away the branding and Shopify is three stacked businesses. The first is a hosted storefront and checkout: a merchant signs up, picks a theme, loads products, and gets a mobile-responsive site with order management, shipping labels, tax, email and inventory tooling. The second is Shopify Payments — a white-labeled Stripe deal that monetizes GMV at ~1.5–2.0% net of interchange, which hit 68% of GMV in Q3 2026 (SEC-API, Nov 2026). On top sits Shop Pay, the one-click wallet with 200M+ saved shoppers (Chargeflow, Oct 2026) that handled 32% of BFCM 2025 orders and grew 62% in GMV in FY2025. The third layer is the ecosystem: a developer platform, the Shop app (B2C discovery), Shopify Audiences (first-party cohorts exported to Meta, Google, TikTok, Pinterest, Snap), Shopify POS, and multi-storefront tooling for Plus brands. Fulfillment, once run in-house as SFN, is now a Flexport partnership called Shopify Promise. The AI layer — Sidekick, piloted in 2024 and expanded through 2025–2026 — executes storefront changes, writes product descriptions, drafts emails, and increasingly acts as the buyer-side interface in cross-merchant discovery.
Product and business overview
Shopify segments revenue into Subscription Solutions (monthly plan fees, apps, themes, domains) and Merchant Solutions (Payments, Shipping, Capital, POS Pro, Audiences). The mix has steadily skewed merchant: in Q3 2026, Subscription Solutions was $836M (+19.6% YoY) and Merchant Solutions was $2.91B (+35.5% YoY), meaning payments and services now generate roughly 78% of revenue (SEC-API, Nov 2026). That mix matters: subscription dollars drop through at ~80% gross margin while merchant-solutions dollars run closer to 40% — a healthy take-rate business but more capital-intensive and more exposed to macro consumer spend. Total blended gross margin was ~47.6% in Q3 2026.
Business model and pricing
Shopify's price list as of late 2026 (Website Builder Expert, Oct 2026):
- Basic: $39/mo monthly ($29/mo billed annually). 2.9% + $0.30 card rate with Shopify Payments; 2.0% third-party transaction fee without.
- Grow (formerly 'Shopify'): $105/mo monthly ($79/mo annual). 2.7% + $0.30; 1.0% third-party fee.
- Advanced: $399/mo monthly ($299/mo annual). 2.5% + $0.30; 0.6% third-party fee.
- Plus: from $2,300/mo on a three-year term. Variable-rate component for stores above ~$1M/mo GMV. Listed base used to be $2,000 and then $2,500 before the 2023 repricing.
- POS Pro: $89/mo per location, $67 bundled with a Shopify plan.
The transaction fee on third-party processors is the lever: Shopify effectively taxes merchants who want to use Stripe or Braintree directly, pushing penetration of Shopify Payments to a level that is the single most important variable in the model. Plus fees were historically flat at $2,000/mo; the 2023 move to a variable-rate contract linked to GMV materially raised the ceiling on enterprise ARPU and is still generating a steady drumbeat of merchant complaints.
Traction over time
- 2020 revenue: $2.93B, GMV $120B (+86% YoY revenue, pandemic surge)
- 2021: $4.61B revenue, $175B GMV
- 2022: $5.60B revenue, $197B GMV (deceleration, workforce cut)
- 2023: $7.06B revenue, $236B GMV
- 2024: $8.88B revenue, $292B GMV
- 2025: $11.6B revenue, $378B GMV, ~$2B FCF at 17% margin (Chargeflow, Oct 2026)
- Q2 2026: $3.58B revenue (+34%), $115.6B GMV (+32%), $654M FCF
- Q3 2026: $3.74B revenue (+31.6%), $119.1B GMV (+29.5%), $568M operating income (15.2% margin), $816M FCF (21.8% margin) (Shopify Q3 2026 release, Nov 2026)
Headcount peaked at 11,600 at the end of 2022 and has since been managed down to ~7,600 at end of FY2025, after the Flexport divestiture and layoffs — a key piece of the operating-margin expansion story.
Market analysis
Global retail ecommerce is on track to exceed $7T in 2026 (eMarketer, GiiResearch and fungies.io 2026 reports). US online retail sits at roughly $1.2–1.3T. Shopify reports more than 14% share of total US ecommerce — a share second only to Amazon's roughly 36% (Marketplace Pulse, 2026). By site count rather than GMV, Shopify powers roughly 30% of US ecommerce platforms per BuiltWith (Oct 2026). The platform now hosts about 3.16M active stores globally, 1.21M of them in the US, plus 81,318 on Shopify Plus (Store Leads via Chargeflow, Oct 2026). The addressable surface keeps expanding downward (Wix/Squarespace migrants, offline-first SMBs onboarding POS Pro), upward (Plus taking enterprise replatforms from Magento and SFCC), and sideways (Shopify Audiences monetizing the ad ecosystem, Shop Pay going off-platform).
Competitive intel
The most urgent competitive question is Amazon's Buy with Prime. Launched April 2022, integrated into Shopify checkout under a truce signed in August 2023 and made generally available November 15, 2023 (Marketplace Pulse, 2023), Buy with Prime attempts to take the Prime logistics halo and plug it into non-Amazon storefronts. A year in, adoption has been lukewarm (Modern Retail, Marketplace Pulse) — merchants worry about surrendering their customer to Amazon's fulfillment and marketing systems. It remains the single largest strategic overhang.
Among platform peers, BigCommerce targets the same mid-market but is a fraction of Shopify's size (BIGC market cap under $600M in late 2026 vs. SHOP's $185B). Adobe Commerce / Magento is losing site count year over year as open-source Magento 1 users churn. Salesforce Commerce Cloud remains the enterprise default but is expensive and slow to implement. WooCommerce remains the largest platform by site count but is the single biggest source of inbound merchant migrations to Shopify (9,293 in the 90 days to mid-October 2026 per Store Leads). Wix and Squarespace feed Shopify upward as stores scale. Commercetools and other MACH vendors win headless enterprise deals that Shopify now competes for with its Hydrogen stack and Commerce Components for Enterprise.
The quieter threat is agentic commerce itself: if OpenAI's operator, Anthropic's computer use, Google Gemini and Amazon's Rufus become the default shopping surface, the checkout button and the brand page both commoditize. Shopify's Sidekick and its new Commerce API for AI agents are the bet that it can host the merchant side of that interaction regardless of which agent closes the sale.

What people say
The case for
Merchants consistently describe the ecosystem as the main lock-in: 13,000+ apps, thousands of themes, a Shopify-literate agency network, and a checkout (Shop Pay) that Shopify claims lifts conversion up to 50% versus guest checkout (Shopify enterprise site, 2025). Independent data is more modest — the documented Princess Polly A/B gave ~4.1% lift for existing Shop Pay sessions and ~1–1.6% store-wide (Clean Commit, 2025), still meaningful at scale. Developers like the opinionated APIs; founders like that they can launch in a weekend; enterprise buyers like that Plus replatforms in weeks, not the 12–18 months Salesforce Commerce Cloud takes.
The complaints
Three chronic grievances surface repeatedly in merchant communities. First, the 'app tax': because core commerce functions (subscriptions, bundles, loyalty, reviews) are sold through third-party apps, a typical serious store pays $200–$1,000/mo in app subscriptions on top of the plan fee (Shopify Community, 2025–2026). Second, the transaction fee on non-Shopify Payments processors (up to 2% on Basic) is seen as coercive. Third, Plus pricing creep: the 2023 shift to a variable, GMV-linked Plus contract pushed bills up for scale merchants, and the three-year lock-in annoys even enthusiasts. A recurring secondary complaint is channel dependency — Shopify stores still lean heavily on Meta and Google ads, and Shopify Audiences has helped but hasn't fixed CAC.
Outlook: well positioned or at risk?
Well-positioned, but with real asymmetry in the risks. Shopify's compounding setup — 30% top-line growth, 20%+ FCF margins, a ~68% payments penetration still rising, and a merchant base that migrates up-market faster than it churns — is the best in enterprise SaaS. The operating-leverage story (margin expansion from 12.1% in Q3 2025 to 15.2% in Q3 2026) is real. The risk is on the discovery side. If AI agents become the default shopping surface, checkout gets abstracted away from the brand site; Shopify has to be the merchant-side runtime for every agent, including Amazon's and OpenAI's. If it is, the TAM expands. If it isn't, the storefront commoditizes.
How to attack it
Do not build a horizontal Shopify-killer. The data moat (ten years of fraud signals, buyer identity graphs, cross-merchant Shop Pay cookies) and the ecosystem moat (apps, agencies, themes) make frontal attack a fool's errand. Three attack vectors are credible: (1) verticalized stacks that bundle commerce, inventory, and the long tail of category-specific workflows (restaurants, auto parts, fashion wholesale, firearms, controlled substances) that Shopify's horizontal platform can't address well; (2) agentic-native storefronts that assume no human visits the site — the storefront is an MCP server the agent talks to — and compete on price of goods, not on UI polish; (3) offline-first commerce for the 70% of US retail still happening in-store, where Shopify POS is still a small fraction of Toast's or Square's footprint.
Adjacent-segment play
The most interesting adjacency is merchant-side infrastructure for agentic commerce: product-feed normalization, structured catalog APIs, verified-merchant identity, agent-safe payment rails, returns automation. Shopify will build the end-to-end version, but a sharp startup can own the layer between agent runtimes and the Shopify/BigCommerce/Magento installed base. Vertical B2B commerce on top of Shopify Plus (a NetSuite-plus-Shopify wrapper for mid-market industrial distributors) is another underserved pocket.
